这些投资者的诉求为：提高私有化价格，争取帮投资者弥补损失；让私有化失败或者延期等。
　　一边是中小投资者排山倒海般的质疑和不满，另一边是聚美优品CEO陈欧在社交软件上云淡风轻的私照、段子和抢红包信息。
　　这一切源于聚美优品在近期宣布的拟以7美元ADS私有化公司，有投资者计算出，聚美优品在美股市场97的交易时段，股价都要高于上述私有化价格。为此，大批投资者因亏损严重表达不满，还因此联合起来准备到海外起诉聚美优品。
　　对此，聚美优品相关负责人在接受《证券日报》记者采访时并未对明确回应该事件，只是称，聚美优品在美股市场被严重低估。
　　私有化价格被质疑过低
　　聚美优品的7美元ADS私有化价格为何会引发如此大规模的讨论？7美元ADS是真的太低了吗？何况按照聚美优品的说法，这一私有化价格相比聚美优品最近十天的股票均价高出27。
　　对此，有网名为“Ricky”投资者给记者算了一笔账：聚美优品自2014年5月16日在美股市场上市以来，总共有570个交易日，仅仅有21个交易日（也正好是聚美优品管理层提出私有化邀约的前21个交易日）股价是低于管理层的7美元ADS私有化邀约价。
　　据悉，一般公司私有化回购的价格都是前60个交易日的平均值再溢价15－30，而聚美优品60个交易日前收盘的均价是7。85美元ADS，收购价还不及平均价。上述投资者称，无论“是和22美元IPO发行价相比，历史成交均价相比，还是和近期的成交均价相比，陈欧等买方团私有化出价实在太低了。”
　　从资产账面价值上来讲，根据聚美优品2015年三季度财报显示，聚美优品总资产7。6亿美元，总负债1。95亿美元，净资产5。69亿美元，公司账面上的现金和类现金资产高达5。2亿美元，陈欧等买方团私有化开出的价格是7美元ADS，整个公司的收购总价仅10。15亿美元，而陈欧、戴雨森、红杉资本的总股份高达54。4，那么收购剩余股份仅需要4。62亿美元，买方团私有化所需要的资金比公司账上的现金资产还低。
　　另外，从成长性来看，聚美优品从上市以来一直给投资者高增长并且盈利能力强的成长预期，这也与低收购价不符。
　　而聚美以22美元发行价上市，之后股价一直维持高位，而如今退市价格仅为当初发行价的三成。
　　投资者亏损严重引不满
　　潮水般涌出来看低价质疑背后是聚美优品的投资者亏损惨重的现象。一位张姓投资者在接受《证券日报》记者采访时表示，其接触到有最多亏损300万美元的投资者，“几乎95以上的聚美优品投资人都是亏损的”。
　　一位来自美国硅谷的软件工程师齐先生（化名）告诉《证券日报》记者，2011年，在电视节目中关注到这家公司，所以坚定不移地相信陈欧和他们的团队，于是选择在聚美优品上市初期买入，在2014年5月份也就是聚美上市后的几个月里，其一共花费32700美元在公司股价25美元左右，买入聚美优品的股票。
　　齐先生表示，在聚美优品上市后的一年多里，自己一直都没有动摇，一直把聚美视作长期投资。
　　2014年5月份公司发生假货事件后，2014年年末，陈欧在微博中发文勾勒出跨境电商的无限前景，文中提到“首先，对于近期的股价下跌，我也很难过，但我仍然觉得自己在做一件正确的事情。只有对消费者100负责，获得消费者信任，才会有长期的股东价值，否则有一天我们必然被负面淹死。”
　　在上述文章的结尾中陈欧称：“对于聚美的股东，我想说，希望你们能够理解我们的选择，相信我们，给我们更多的时间，我们暂时的低调，只是在积攒力量。”齐先生表示，当时看了这样的说法，投资者也是信心满满，依然坚信不疑地继续持有，尽管在2015年5月份，聚美优品财报披露后，公司股价开始下跌。
　　但是谁也没想到，下跌没有至今没有停止过，直到2月17日，齐先生得知聚美优品要以7美元私有化时，其感到“无比震惊、心碎、和愤怒，不但是无法弥补的损失，更重要的是我有一种强烈的被骗感”。
　　据齐先生提供给《证券日报》记者的亏损图标显示，目前其亏损金额为22000美元，亏损幅度为高达70。71。
　　这并不是个案，网名为“一哥”的投资者表示，自己买了几万美元的聚美优品股票，“这几天都没有好好睡过觉，不但是为巨大的亏损担忧，更重要的是有一股很强烈的被骗感。我们这些长期持有的小股东把所有的信任都押在了他们身上，而且从未动摇，理应获得回报，但却换来最惨重的代价”。
　　欲起诉聚美优品
　　在7美元ADS的超低价质疑以及投资者亏损惨重的背景下，聚美优品的投资者决定团结起来采取法律手段起诉聚美优品。
　　组织者张先生告诉《证券日报》记者，目前聚美优品的中小投资者正在筹划以下行动：集体委托海外律师诉讼；在国内法院起诉聚美，扩大影响力；网上向SEC（美国证券交易委员会）投诉；邮件、电话或通过微博向独立委员会抗辩等。
　　“目前上述几个方向都有一对一的投资者在联系和推进中，”上述维权发起者张先生表示，现在已经有十几位投资者已经结成一致行动人关系，并且联系到了律师准备在海外起诉聚美优品，一致行动人的目标持股数量为100万股票，金额越大越好，起诉地点为美国和开曼。
　　这些投资者的诉求为：提高私有化价格，争取帮投资者弥补损失；让私有化失败或者延期等。
　　事实上，中概股低价私有化已经不是个案。
　　自2015年以来，共有33家中概股宣布接到私有化邀约，数字超过了过去四年的总和。而每一次私有化，都是企业与股民之间的利益对决，比如2015年7月份，当当网宣布公司董事会已经接到来自董事长俞渝、CEO李国庆所组成的“买家联盟”私有化邀约，计划以7。812美元ADS的价格收购，低于发行价51。2。
　　此外，如世纪佳缘、中手游、乐逗、航美、久邦、易居、空中网等10家企业私有化价格都在发行价之下。
　　之所以出现这种状况，在于美国证券法或者SEC、交易所等从没有对私有化价格做量化的限定，他们更不负责对价格的高低进行评判。私有化流程上，最后是由股东大会投票表决，虽然之前需由特别委员会出具意见，但作用有限。
